Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Sentry Mandate LLC ("Company," "we," "us," or "our") governing your access to and use of sentrymandate.com and all related applications, dashboards, APIs, documentation, and services (collectively, the "Platform").

By accessing or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree, you must not access or use the Platform.

Important Notice — Early Access / Beta Status

2. Early Access / Beta Program

The Platform is currently provided as an Early Access / Beta release. You acknowledge and agree that:

  • The Platform is experimental and under active development.
  • Features may be incomplete, unstable, or subject to change.
  • The Platform may contain errors, defects, or security vulnerabilities.
  • The Platform may experience outages, interruptions, or data loss.
  • Documentation may be incomplete or inaccurate.
  • Services may be modified, restricted, or discontinued at any time.

You expressly assume all risks associated with using a Beta product. The Company makes no guarantees regarding reliability, uptime, performance, data retention, or feature continuity.

3. No Reliance / No Guarantee of Functionality

You agree that:

  • You will not rely on the Platform for mission-critical operations.
  • You will not rely on the Platform for legal, financial, compliance, or operational guarantees.
  • You are solely responsible for independently verifying any outputs, logs, executions, or automation.

The Platform may provide execution tools, governance layers, treasury controls, or mandate systems. However, the Company does not guarantee the correctness, enforceability, or security of any instruction, transaction, automation, or delegated execution performed using the Platform.

4. Financial & Treasury Disclaimers

If the Platform provides functionality involving budget allocation, treasury tracking, escrow simulations, payment integrations, smart contract interactions, API-based financial operations, or agentic automation of financial tasks, you acknowledge and agree that:

  • The Company is not a bank, fiduciary, or financial advisor.
  • The Company does not custody user funds unless explicitly stated.
  • The Company does not guarantee transaction execution or reversibility.
  • The Company is not responsible for losses resulting from API integrations, third-party processors, or external wallet systems.
  • All financial activity conducted through integrations is performed at your sole risk.

5. Agentic Automation Disclaimer

If you deploy AI agents, automated scripts, or delegated execution through the Platform:

  • You are fully responsible for all actions taken by your agents.
  • You assume all liability for decisions made by automated systems.
  • The Company does not monitor, validate, or audit agent decisions.
  • The Company does not guarantee agent behavior, accuracy, or compliance.

The Platform provides governance tooling. It does not assume operational responsibility.

6. Data Loss & Backup Disclaimer

You acknowledge that:

  • Data may be lost, corrupted, delayed, or deleted.
  • Logs may not be permanent.
  • Backups are not guaranteed.
  • Early Access systems may reset or migrate without preserving user data.

You are solely responsible for maintaining independent backups of all critical data.

7. Limitation of Liability

To the maximum extent permitted by law, Sentry Mandate LLC shall not be liable for: direct damages, indirect damages, consequential damages, incidental damages, loss of profits, loss of revenue, loss of business opportunity, data loss, security breaches, transactional errors, smart contract vulnerabilities, automation errors, or third-party API failures.

Total aggregate liability shall not exceed $100 USD or the total amount paid by you to the Company in the previous 3 months, whichever is lower.

8. Indemnification

You agree to indemnify, defend, and hold harmless Sentry Mandate LLC, its founders, employees, contractors, and affiliates from and against any claims, damages, liabilities, losses, costs, and expenses arising from:

  • Your use of the Platform
  • Your agents' actions
  • Your financial integrations
  • Your violation of these Terms
  • Your violation of any law or third-party right

9. No Warranty

The Platform is provided "as is" and "as available." We disclaim all warranties, express or implied, including: merchantability, fitness for a particular purpose, non-infringement, accuracy, security, reliability, uptime, and error-free operation.

We do not warrant that the Platform will be secure, uninterrupted, will meet your expectations, or that bugs will be corrected.

10. Platform Modifications

We reserve the right to modify features at any time, remove functionality without notice, change pricing structures, terminate Early Access, reset databases, restrict access, and suspend or terminate accounts.

Early Access users have no expectation of feature continuity.

11. Acceptable Use

You agree not to:

  • Use the Platform for unlawful activity
  • Attempt to reverse engineer proprietary systems
  • Conduct security testing without authorization
  • Deploy malicious automation
  • Circumvent platform safeguards

Violation may result in immediate termination.

12. Confidentiality (Beta Users)

You acknowledge that Early Access features may be confidential. You agree not to publicly disclose vulnerabilities, share proprietary documentation, or misrepresent the maturity of the Platform.

13. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

14. Dispute Resolution

Any dispute shall be resolved by binding arbitration in California, unless prohibited by law. You waive the right to jury trials, class actions, and collective proceedings.

15. Termination

We may suspend or terminate your access at any time without notice. Upon termination, your license to use the Platform ends immediately and we may delete your data without liability.

16. Acknowledgment of Risk

By using this Early Access Platform, you acknowledge that you are using experimental governance infrastructure. You accept that instability, failure, and unexpected behavior are inherent risks of Beta software. You voluntarily assume those risks.
